Luca CM Melchionna, Esq., Principal

Luca CM Melchionna has 20+ years of experience in both private practice and academia, in Italy and in the United States. He is a transactional attorney with a focus on regulatory, compliance, and M&A/tax. Mr. Melchionna currently represents and assists multinational companies and institutional entities in a variety of corporate, commercial, and tax law matters. He assists buyers and investors in the formation and/or acquisition of U.S. companies, local assets, and in international business transactions. He also assists and represents clients before numerous federal and/or state authorities and institutions. He is a member of the New York City Bar, the New York State Bar and the American Bar Association. Mr. Luca CM Melchionna is admitted to practice law in the State of New York and before the following courts: US District Court of Southern District of New York; US District Court of the Eastern District of New York; US District Court of the Eastern District of Michigan. Most recently, Mr. Melchionna has been appointed Counselor of Legal Affairs of the Permanent Delegation to the UN of EPLO, the European Public Law Organization, a thirty-year-old international organization dedicated to the promotion of the Rule of Law. https://www1.eplo.int/

He graduated at the University of Rome, School of Law with a Juris Doctor. He earned an LLM degree in International Business Law at the University of Rome, Business School, and – from the same educational institution – a second LLM degree in International Tax Planning (with honors). In 2001 he completed a summer program at the University of Paris (with Cornell Law School) in Comparative Corporate Law. In 2003, he graduated with a third LLM degree at Boston University School of Law. In 2005 he was a vising professor at Boston University School of Law. From 2006-2012 he was at St. John’s Law School in NYC and appointed the first director of the LLM Program and first director of the JD summer program in Rome, Paris, and Barcelona. During his tenure, he taught to LLMs and JDs subjects like International taxation, Comparative Law, EU Law, and International Arbitration.  In 2011-2012 he was a visiting scholar in New York City at Columbia University, the Italian Academy for Advanced Studies.

Mr. Melchionna published extensively: two books; three contributions to books, and more than 50 professional and/or academic articles. He is invited regularly to conferences, symposia, roundtables, and academic lectures. A detailed resume is available upon request. 

Premtaj Carlose, Esq. Of Counsel

Premthaj Carlose is of counsel of Mechionna PLLC. He practices Estate Planning, Immigration and Real Estate Transactions. He has worked extensively in matters involving Wills and Trust and Immigration. He started collaborating with the firm in 2013 in matters involving cross border transactions, international investment and trade, company formation, licensing, and corporate immigration. Mr. Carlose is a member of the American Bar Association and the Nassau County Bar Association. He is admitted to practice in the State of New York and his admission to practice in the State of Georgia is pending. In addition, he is qualified to practice in India since 1997 where he was a practicing Criminal Defense Attorney.

He earned an LLM in 2009 from St. John’s University School of Law; a LL.B. in 1996 from University of Kerala, India; an M.B.A., in 1997 from IGNOU, India; a B.A in Economics and B.A in Philosophy in 1985 from Mysore University, India; and a Divinity Degree in 1990 from the Pontifical Urban University, Rome.

Luis Denuble, Esq., Of Counsel

Luis E. Denuble has more than twenty years of experience as an attorney in Argentina and the United States. He advises US and foreign companies on matters ranging from corporate structures, legal entities, international business transactions, contracts, employment agreements, business immigration, real estate transactions, and regulatory compliance (at the federal, state, and local levels).

He graduated from Universidad Católica Argentina and earned a Master in American Law (LL.M.) from Boston University.

Luis was an active member of the Association Internationale des Jeunes Avocats (AIJA) and has authored several Country Reports on Intellectual Property, Litigation, and Arbitration, among others. He has been a panelist and speaker at many conferences and symposia in Argentina, the United States, Canada and Europe.

Luis was appointed professor of Civil Procedure and Consumer Law at both the University of Buenos Aires and Universidad de Ciencias Empresariales y Sociales (UCES).

Luis is co-founder and current Vice-President of the Argentine Lawyers Association of New York. He is a member of the New York State Bar Association, New York City Bar Association, and Colegio Público de Abogados de la Capital Federal.

Dott. Elio Gallarati, Of Counsel

Elio Gallarati advises companies on domestic and international tax matters and corporate tax law issues on reorganizations, M&A, sales of stock and/or assets. On cross-border transactions, Mr. Gallarati provides advice on foreign financial statements, applicable accounting principles, and corporate taxation. In this context, he has also acquired relevant experience on corporate governance issues. He holds numerous corporate positions.

He graduated with a degree in Business and Finance at the Catholic University of the Sacred Heart in Milan. He is an admitted chartered accountant in Italy (CPA equivalent).
