What We Practice

Melchionna PLLC advises businesses, investors, and institutions on corporate, tax, and cross-border matters between the United States and Europe.

Our practice is rigorous in analysis, pragmatic in application, and global in perspective. From our office on Madison Avenue, the Firm counsels clients across the full life cycle of their business, from formation and investment through growth, transactions, regulatory compliance, and dispute resolution.

The practice areas below work as one integrated team. A single cross-border transaction may involve corporate structuring, tax planning, trade compliance, data protection, and executive relocation. We coordinate these disciplines so clients receive coherent, commercially grounded advice.

Corporate & Business Law

Corporate law is the foundation of the Firm's practice. We advise companies, founders, investors, and boards on the legal framework governing the formation, operation, and restructuring of business entities, with an emphasis on achieving commercial objectives while managing legal risk.

In every matter, we approach the dispute with a clear view of the client's commercial interests, seeking favorable outcomes while minimizing disruption to the business.

Our litigation work covers every stage of a dispute, including early risk assessment, pleadings and motions, discovery, settlement negotiation, trial, and appeal. Executive Mobility

The Firm advises companies on the movement of senior executives and managers to the United States in support of their business operations and investments. Our practice concentrates on the two visa categories most relevant to international companies establishing or expanding a U.S. presence: the E treaty visas and the L intracompany transferee visa.

Executive mobility is often a decisive element of a cross-border investment or expansion, and we integrate it with our corporate, tax, and transactional work. Whether a European company is opening its first U.S. office, acquiring a U.S. business, or transferring leadership to an existing American subsidiary, we help structure the investment and the corporate relationship so that the executives who will run the business can qualify to do so.

E Treaty Trader and Treaty Investor Visas (E-1 and E-2). For nationals of countries that maintain a qualifying treaty with the United States, the E visas allow executives and managers to direct a U.S. enterprise engaged in substantial trade with, or funded by substantial investment from, their home country. We advise on qualification, investment structuring, and the preparation of applications, including consular filings.

L-1A Intracompany Transferee Visa. For multinational companies, the L-1A visa allows executives and managers who have worked for a foreign parent, subsidiary, affiliate, or branch to transfer to a related U.S. entity. We advise on qualifying corporate relationships, new-office petitions for companies establishing U.S. operations, and extensions as the U.S. business matures.

Key services

  • E-1 treaty trader and E-2 treaty investor visas

  • L-1A intracompany transfers, including new-office petitions

  • Structuring investments and corporate relationships to support visa eligibility
