Luca CM Melchionna, Esq., Managing member

Luca CM Melchionna has 25+ years of experience in both private practice and academia, in Italy and in the United States. He is a transactional attorney with a focus on regulatory, compliance, and M&A/tax. Luca currently represents and assists multinational companies and institutional entities in a variety of corporate, commercial, and tax law matters. He assists buyers and investors in the formation and/or acquisition of U.S. companies, local assets, and international business transactions.

Luca is admitted to practice law in the State of New York and before the following courts: U.S. Court of Appeals for the Second Circuit; U.S. District Court of the Southern District of New York; U.S. District Court of the Eastern District of New York; U.S. District Court of the Eastern District of Michigan; U.S. District Court of the Western District of Michigan. He is also a member of the New York City Bar, the American Bar Association (ABA), and the New York State Bar Association (NYSBA). He currently serves as chair of the Technology and Venture Law Committee of the Business Law Section (BLS) of NYSBA.   

Luca is also Counsellor of Legal Affairs of the Permanent Delegation to the UN of EPLO, the European Public Law Organization, a thirty-year-old international organization dedicated to the promotion of the Rule of Law. https://www1.eplo.int/

He graduated from Sapienza University, Rome, School of Law, with a Juris Doctor. He earned the following degrees and certificates: Master in Laws (LLM) in International Business Law, Sapienza University, Rome, Business School; Master in Laws (LLM), International Tax Planning (with honors), Sapienza University, Rome; Certificate in Comparative Corporate Law, University of Paris I/Cornell Law School; Master in Laws (LLM), Boston University, School of Law; Tax and Revenue Management Certificate, Harvard University, Kennedy School of Government. He was a visiting professor at Boston University, School of Law; Director of the LLM Program and Adjunct professor of law, St. John’s Law School, NYC (where he received two St. John’s Law School Dean’s Teaching Awards); Visiting scholar at the Italian Academy for Advanced Studies, Columbia University.

Premthaj Carlose, Esq., Of Counsel

Premthaj (Prem) Carlose is of counsel of Mechionna PLLC. He practices Estate Planning, Immigration, and Real Estate Transactions. He has worked extensively in matters involving Wills and Trust and Immigration. He started collaborating with the firm in 2013 in matters involving cross-border transactions, international investment and trade, company formation, licensing, and corporate immigration. Prem is a member of the American Bar Association and the Nassau County Bar Association. He is admitted to practice in the State of New York. In addition, he is qualified to practice in India since 1997 where he was a practicing Criminal Defense Attorney.

He earned an LLM in 2009 from St. John’s University School of Law; an LL.B. in 1996 from the University of Kerala, India; an M.B.A., in 1997 from IGNOU, India; a B.A. in Economics and B.A. in Philosophy in 1985 from Mysore University, India; and a Divinity Degree in 1990 from the Pontifical Urban University, Rome.

Luis E. Denuble, Esq., Of Counsel

Luis E. Denuble has more than twenty years of experience as an attorney in Argentina and the United States. He advises US and foreign companies on matters ranging from corporate structures, legal entities, international business transactions, contracts, employment agreements, business immigration, real estate transactions, and regulatory compliance (at the federal, state, and local levels).

He graduated from Universidad Católica Argentina and earned a Master in American Law (LL.M.) from Boston University.

Luis was an active member of the Association Internationale des Jeunes Avocats (AIJA) and has authored several Country Reports on Intellectual Property, Litigation, and Arbitration, among others. He has been a panelist and speaker at many conferences and symposia in Argentina, the United States, Canada and Europe.

Luis was appointed professor of Civil Procedure and Consumer Law at both the University of Buenos Aires and Universidad de Ciencias Empresariales y Sociales (UCES).

Luis is co-founder and current Vice-President of the Argentine Lawyers Association of New York. He is a member of the New York State Bar Association, New York City Bar Association, and Colegio Público de Abogados de la Capital Federal.

Avv. Teresa Massaro, Of Counsel

Avv. Teresa Massaro is an Italian lawyer based in Rome.

Teresa practices corporate law, M&A, and provides legal advice to startups and mid-size companies. She is also engaged in cross-border transactions and financing.

She graduated with a JD degree (equivalent) from LUISS University in Rome, and from the same school, she also earned a Master’s Degree (LLM) in Corporate Law, European and International Perspectives in 2019. She attended the “European and Comparative Company Law: Capital Market” Summer School run jointly by LUISS University and Leiden University and the Centre for European Company Law – CECL.

Teresa is admitted to practice law in Italy.

Avv. Flavia Betti Tonini, PhD, Of Counsel

Flavia Betti Tonini is an experienced attorney with a solid background in corporate law, compliance, criminal law, and artificial intelligence. With over a decade of experience, she focuses on corporate criminal liability under Italian Legislative Decree 231/2001, serving as a trusted advisor for private and public companies. She is an active member of various supervisory bodies (Organismi di Vigilanza) and advises on corporate governance, regulatory compliance, and risk management strategies.

Flavia is a member of the Environmental and Climate Change Committee of the Council of Bars and Law Societies of Europe (CCBE) for the 2024–2026 term, appointed in this role by the Italian National Bar Council. She is also a member of the Observatory on Science, Justice, and Artificial Intelligence of the Italian Criminal Chambers Union and an external member of the European and International Law Committee of the Italian National Bar Council.

Since 2023, she is a board member of the Trento Bar Association, where she holds multiple roles, among which Coordinator of the International Relations Committee, a member of the IT and Privacy Committee, and Responsible Officer for Transparency and Corruption Prevention.

She holds a Ph.D. in Comparative and European Legal Studies from the University of Trento, with a dissertation on corporate criminal liability of a group of companies in Italy, France, and Germany. She conducted research at the Max Planck Institute for Foreign and International Criminal Law in Freiburg, Germany. She graduated with a juris doctor degree with honors from the Law School of the University of Trento, Italy.

Flavia is a frequent speaker at national and international conferences, including the 2024 FBE General Congress in Málaga (“The Lawyer of the Future”) and the 2024 Lisbon conference on legal ethics in the age of AI. She has also delivered specialized training sessions for law enforcement agencies, corporate professionals, and public institutions on compliance, liability, and emerging legal challenges.
