Per l’anno fiscale 2019 e’ stato introdotto il “National Defense Authorization Act”, che ha rinnovato ed ampliato i poteri della Commissione sugli investimenti stranieri negli Stati Uniti (“CFIUS”), oltre ad aver modificato il FIRRMA (“Foreign Investment Risk Review Modernization Act”).

Gli investimenti effettuati negli USA da parte di soggetti esteri saranno sottoposti a procedure di controllo piu’ stringenti qualora si ravvisino rischi per la sicurezza nazionale americana. Saranno ritenuti tali tutti gli investimenti aventi ad oggetto infrastrutture di cruciale importanza, tecnologie fondamentali che comportino la manipolazione di dati sensibili di cittadini americani, ovvero che riguardino alcune transazioni effettuate nel mercato immobiliare. In breve, le aree maggiormente sensibili saranno: acquisizioni immobiliari in aree strategiche; acquisizioni attraverso PE in societa’ tecnologiche; trasferimento di tecnologia all’estero.

Vengono introdotti nuovi meccanismi sui regimi delle importazioni e riesportazioni, che impongono l’identificazione ed il controllo delle transazioni con maggiore capillarita’.

I soggetti coinvolti dovranno prevedere una tempistica piu’ lunga nella presentazione (ed evasione) dei documenti giustificativi dell’operazione proposta alla CFIUS. Tale Commissione potra’ autorizzare o meno l’operazione, oppure richiedere maggiori informazioni o, ancora, avviare una revisione unilaterale della transazione, anche dopo il closing.

CFIUS

A seguito di raccomandazione della CFIUS, il Presidente degli Stati Uniti ha il potere di sospendere o proibire operazioni di investimento negli USA alla luce della Sezione 721 dell’Exon-Florio Act introdotta nel Defense Production Act del 1950.

La CFIUS, guidata dal Secretary of the Treasury, raccomanda le operazioni di investimento effettuate dall’estero al Presidente della Repubblica che a sua volta puo’ accogliere o meno.

Nel novembre 2018 e’ entrato in vigore un primo programma pilota su le operazioni che coinvolgono tecnologie considerate critiche. Tutti gli investimenti stranieri sono assoggettate ad un filing obbligatorio ai sensi della Sezione 31 CFR 801.401.
